KIDSCHANGE® “EXTREME TEEN MAKEOVER” SWEEPSTAKES

OFFICIAL RULES

NO PURCHASE NECESSARY. A purchase will not improve your chance of winning.

1. ELIGIBILITY: This sweepstakes is open only to legal residents of Minnesota and the U.S and the District of Columbia, excluding Florida and New York, who are 13 years of age to 18 years of age as of the date of entry. Employees of Minnesota Youth Intervention Association ("Sponsor"), KIDSCHANGE®, the Mall of America, and their respective subsidiaries, affiliates, and advertising, promotion and Internet agencies, and their immediate family and household members, are not eligible. Void where prohibited and subject to all laws.

2. HOW TO ENTER: The sweepstakes begins at 12:00 PM Central Daylight Time (CDT) on AUGUST 1 and ends at 11:59 PM CDT on AUGUST 15, 2009 (the "Entry Period").

There are three methods of entry, but only one entry per person, irrespective of method of entry, is allowed.

WEB Entry: Submit a web entry by visiting www.kidschange.org and following the on-screen entry instructions. Normal time rates, if any, charged by Internet service provider will apply.

SMS Entry: Submit an SMS Entry from your wireless phone by sending a text message CHANGE to 89074. Standard carrier's messaging rates and other charges may apply.

Any attempt to enter the Sweepstakes other than the entry methods stated is prohibited. Entries require a street address (no P.O. Boxes) located within the 50 United States or the District of Columbia, excluding Florida and New York.

WAP Entry: Submit a WAP Entry by visiting www.WAP.kidschange.com on the WAP or mobile Internet browser on your wireless phone or device and following the on-screen entry instructions. Carrier-specific charges for WAP usage may apply, in accordance with your wireless customer agreement.

Entrants are responsible for all charges imposed by their Internet service and/or wireless service provider (as applicable), including any applicable taxes on such services, in connection with submission of an entry.

All entries must be submitted during the Entry Period. All entries become the property of Sponsor, and will not be returned.

By submitting an entry, entrants agree to be bound by these rules and the decisions of the judges, which will be final in all matters relating to the Sweepstakes, including (without limitation) all decisions regarding eligibility, compliance with these rules, the selection of winners, the award of prize and the administration of drawings and events.

Entrants who do not comply with these Official Rules or attempt to interfere with the Sweepstakes in any way will be disqualified.

Sponsor is not responsible for lost, stolen, destroyed, late, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, or for problems of any kind, whether mechanical, human or electronic, in connection with the submission, receipt, storage and/or processing of entries. Only fully completed entries are eligible.

For purposes of these Official Rules, “receipt” of an online entry occurs when Sponsor’s servers record the entry information. Any automated computer receipt (such as one confirming delivery of email) does not constitute proof of actual receipt by Sponsor of an online entry. Although subsequent attempts to enter may be received, only the first entry received from a particular individual will count. Every online entry must be manually key stroked by entrant. Automated entries (including but not limited to entries submitted using any bot, script, macro, or Sweepstakes service), are not permitted and will be disqualified. Proof of submission will not be deemed to be proof of receipt by Sponsor.

3. PRIZES: Three potential Fashion Makeover prize winners will be randomly selected by the judges on or about August 17, 2009 from all eligible entries received. (Approximate Retail Value $300.00). Odds of winning depend on the number of eligible entries received. Potential winners will be notified by e-mail, standard mail and/or telephone, at Sponsor's discretion. If any potential winner cannot be reached by e-mail or telephone within three (3) days of initial attempt and/or fails to respond to any notification attempt within three (3) days, or if any attempted notification or prize delivery is returned as undeliverable, the prize will be forfeited and awarded to a randomly selected alternate winner. Potential winners will be required to complete and return to Sponsor an Affidavit of Eligibility and Liability, and a Publicity Release within five (5) days of attempted delivery of same. If the potential winner is a minor under the laws of his or her state of residency, prize will be awarded in the name of the winner's parent or legal guardian, who will be required to complete the Affidavit/Release. Failure to complete and return any required Affidavit or Release within the specified time period will result in disqualification and the random selection of an alternate winner.

The three Fashion Makeover Prizes will be awarded on SATURDAY AUGUST 29, 12:00 -3:00 (CDT) YOU MUST BE PRESENT AT THE MALL OF AMERICA® to collect your makeover and an assortment of products selected and designated by Sponsor. The prize consists only of the items expressly specified in these Official Rules. All expenses and costs associated with the acceptance or use of any prize are the responsibility of the winner. All prizes will be awarded if properly claimed. No substitution, cash redemption or transfer of prize permitted, except in the discretion of Sponsor, which reserves the right to substitute a prize of equal or greater value in the event of prize unavailability. All federal, state and local taxes on prize value are the sole responsibility of winner. An IRS form 1099 may be issued in the name of the Grand Prize winners.

Sponsor and its promotional partners make no representations or warranties of any kind regarding the appearance, performance or safety of any prize. All prizes must be accepted as awarded. If a winner cannot accept the prize as stated, the prize will be forfeited.

4. GENERAL: Acceptance of a prize constitutes the irrevocable consent of the winner (and the winner's parent/legal guardian if winner is a minor in his/her state of residence) for the unlimited, worldwide use of his/her name, address (city and state), likeness, photograph, picture, portrait, voice, biographical information and/or any statements made by Winner regarding the Sponsor or Sweepstakes for Sponsor’s advertising and promotional purposes without notice, additional compensation, or right of review in any media (including without limitation posting Winner's name and photograph on the Internet), except where prohibited by law. By participating, entrants (and parent/legal guardian if entrant is a minor in his/her state of residence) and winner (and winner's parent/legal guardian if winner is a minor in his/her state of residence) release and hold Sponsor, the Mall of America and its retailers and their respective advertising and promotion agencies, parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors, harmless from any and all liability for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with participation in the Sweepstakes or possession, acceptance and/or use or misuse of the Prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation or invasion of privacy.

Sponsor is not responsible for any errors in the administration of the Sweepstakes or announcement of the Prize, and any promotion materials, including the offer or these Official Rules, which contain production, printing or typographical errors, or are obtained outside authorized or legitimate channels are void; and Sponsor’s liability, if any, is limited to the replacement of such materials. Recipients of such materials release the Sponsor from any and all losses, claims or damages that may result therefrom.

US cell phone carriers, including Verizon, Sprint, Cingular, Nextel, Alltel, T-Mobile, Dobson, Boost, Amp'd, AT&T, Cincinnati Bell Wireless, Western Wireless, Cellular One, US Cellular, Virgin Mobile and/or each of their respective subsidiaries, affiliates, shareholders, officers, directors, agents, representatives and employees are not sponsors of this Sweepstakes, and none of the above-listed entities will have any liability or responsibility for any claim arising in connection with participation in this Sweepstakes or any prize awarded.

5. IDENTITY RULES AND VERIFICATION: The person submitting an online entry must be the authorized account holder of the email address provided with the entry. “Authorized account holder” is the natural person who is assigned to an email address by the Internet Access Provider, online service provider, or other organization that is responsible for assigning email addresses. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the person in whose name the email account is registered. If a winning entry is an online entry, the potential winner may be required to provide proof that he/she is the authorized account holder of the email address associated with that entry.

In case of dispute as to the identity of any SMS entrant, entry will be declared made by the authorized account holder of the wireless phone or device used to submit an entry. Sponsor may require any entrant to provide Sponsor with proof that such party is the authorized account holder of the wireless phone or device.

Sponsor, its affiliates, partners and promotion and advertising agencies are not responsible for technical, hardware, software, electronic, network, telephone, computer or other communications malfunctions, errors or failures of any kind, errors in transmission, lost or unavailable network connections, telephone connections, wireless phone connections, web sites, WAP sites, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed transmissions which may limit or restrict an entrant's ability to enter the Sweepstakes, including any injury or damage to participant's or any other person's phone, or other matter relating to or resulting from participating in this Sweepstakes or downloading any materials in the Sweepstakes.

6. CANCELLATION, SUSPENSION, DISQUALIFICATION: Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Sweepstakes should (in its sole discretion) any virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, Sponsor will randomly select the winner from all eligible entries received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Sweepstakes and/or any associated web sites and/or WAP sites. Sponsor may void an entrant's Entries without refund and prohibit an entrant from participating in the Sweepstakes (and future promotions) or winning the Prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices (including but not limited to the use of automated entry programs, the use of automated entry devices, entry through multiple phone accounts owned by the same entrant or by participating in, or benefiting from, a syndicate, group or block entry process or system), or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives.

CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

7. ARBITRATION/CHOICE OF LAW. Except where prohibited, participants agree that any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes shall be resolved exclusively by arbitration pursuant to the Rules of the American Arbitration Association then in effect, and any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred by participant in connection with this Sweepstakes, but in no event attorneys’ fees, punitive, incidental, consequential or other damages. All issues and question concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participants and the Released Parties in connection with the Sweepstakes shall be governed by and construed in accordance with the laws of the State of Minnesota, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than Minnesota. The invalidity or unenforceability of any provision of these rules shall not affect the invalidity or unenforceability of any other provision so long as the general intent of these rules remains in effect. In the event that any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

8. Use of Data: By participating in the Sweepstakes, entrants acknowledge that they have read and accepted Sponsor's privacy policy available at www.kidschange.org/privacynotice.
